Nick Jr Fan Club Terms and Conditions

New Members – April 2021

We have a few rules (these “Terms“) which you’ll need to know and follow when you join the Nick Jr Fan Club (the ” Club“) operated by us, Nickelodeon UK Limited (Company Registration No: 2797365) of 17-29 Hawley Crescent, London, NW1 8TT (” Nickelodeon“).

These Terms include details about how to register for the Club, membership benefits and anything else Nickelodeon thinks you may need to know about being a member of the Club. These Terms will apply to Club registration and membership, and by registering for the Club and becoming a member of the Club you promise to follow and be bound by these Terms (which may be amended or varied at any time by Nickelodeon with or without notice) and by Nickelodeon’s decisions, which are final in all matters relating to these Terms and the Club, and no correspondence or discussion shall be entered into. IMPORTANT INFORMATION

1. Prize Draw Opening Date: 00:01 on Saturday 27 March 2021 (” Opening Date“)

2. Prize Draw Closing Date: 23:59 on Sunday 11 April 2021 (” Closing Date“)

3. Prize Draw Promoter: Nickelodeon UK Limited (Company Registration No:

2797365) of 17-29 Hawley Crescent, London, NW1 8TT (” Nickelodeon“)

WHO CAN BECOME A MEMBER?

4. To be eligible to become a member of the Club, you must:

a) be aged 18 years or over;

b) live in the UK or Republic of Ireland; and

c) have a valid email address.

HOW TO BECOME A MEMBER

5. To become a member of the Club, you must go towww.nickjrfanclub.uk (the ” Club Website“) and complete and submit the online registration form between the Opening Date and Closing Date, as part of the entry process you will be asked to confirm where you live and how old you are. This information is used to check your eligibility to enter. As part of the entry form you will also be asked to provide a contact email address which may need to be validated prior to your entry being submitted. The entry form involves:

a) providing your full name and a valid email address (and validating the contact email address),this email address shall be used in order for Nickelodeon to fulfil the Membership Benefits and to circulate a digital version of the Welcome Pack (excluding the Nickelodeon Dry Wipe Pen and any sticker based activities from the Nickelodeon Official! Pinkfong Baby Shark Magazine);

b) providing your postal address (this is the address that shall be used to deliver the Prize, in the event that you are randomly selected as a Winner);

c) confirming that you have read and accepted these Terms and Conditions and our Privacy Policy by checking the relevant unchecked boxes; and

d) confirm that you are aged 18 years old or over;

(together a), b) c) and d) above shall be a “Registration “).

If you want to receive a birthday email for your child you will also have to provide their month of birth although this information is not mandatory.

6. No purchase is necessary in order to join the Club, but you will need access to the internet in order to access the Club Website and enjoy the Membership Benefits (see clause 7 for these benefits). If you aren’t the person paying the bill then please check with them before registering.

7. Registration can only be completed via the Club Website, and registrations submitted by any other method will not be valid.

8. Please take care when completing the Club registration form to ensure that we have your correct details. Any Registrations which are incomplete will not be valid. Nickelodeon is not responsible if your Registration gets lost, delayed, misdirected, is undelivered or if you have technical problems trying to join the Club.

HOW TO CANCEL YOUR MEMBERSHIP

9. Members may cancel their membership by selecting the “unsubscribe” link in any of the Club’s monthly newsletters. Upon clicking and following such link, members of the Club will then be asked to re-enter their email address in order to confirm that they wish to unsubscribe from the Club.

MEMBERSHIP BENEFITS

10. The current benefits of membership of the Club are the following:

a) a “sign up” confirmation email at point of registration;

b) a welcome email with printable activity pack after confirmation of registration;

c) monthly Club newsletter emails; and

d) a birthday email for your child (if you choose to provide your child’s month of birth)

(together, a), b), c) and d) are the “Membership Benefits “).

11. Nickelodeon has the right to cancel any member’s Club membership if that member does not comply with these Terms, agree with the Privacy Policy or Nickelodeon has reasonable grounds for believing that a member has broken a rule contained in these Terms.

PRIZES AND WINNER SELECTION

12. In addition to the Membership Benefits, individuals completing the Registration process to become a new member of the Club between the Opening Date and the Closing Date shall be entered into the Prize Draw to win a “Baby Shark” welcome pack containing the following (each a “Welcome Pack” and together the “Welcome Packs“):

• 1 x Baby Shark’s Big Show 12 A4 page activity booklet
• 1 x Issue 9 of the Nickelodeon Official! Pinkfong Baby Shark Magazine (including 36-page magazine and a sticker sheet with over 40 stickers)
• 1 x Nick Jr. branded dry wipe pen
• 1 x Baby Shark’s Big Show A4 white board tooth brushing chart
• 1 x Baby Shark’s Big Show Make Your Own Story A4 craft sheet

13. There will be one thousand (1,000) winners of the Prize Draw (the “Winners“).

14. The Winners of the Prize Draw will be the first one thousand (1,000) registrants selected randomly by Nickelodeon from all valid Registrations received between the Opening Date and the Closing Date.

15. The Winners will be selected by no later than Friday 16 April 2021 and Nickelodeon will notify the Winners that they have been successful within two (2) weeks by sending the Welcome Pack in the post.

16. For the avoidance of doubt,

(a) existing fan club members are not eligible to enter the prize draw; and

(b) any new members that sign up between the Opening Date and Closing Date, who do not opt in to the prize draw at the time of subscribing to the fan club, shall not have the chance to enter the prize draw afterwards.

(c) Entries received after the Closing Date will not be valid, and will be automatically disqualified. Nickelodeon is not responsible if your Entry gets lost, delayed, misdirected, undelivered, damaged regardless of cause (e.g. technical malfunction, or if you experience any computer hardware or software or technical problems of any kind) when trying to enter the prize draw.

17. Only one (1) entry is permitted per entrant. Multiple entries will be void and the entrant disqualified.

18. Prizes can only be sent to a UK and/or Eire address so if a Winner has moved somewhere outside the UK/Eire after entering the Competition, their Entry will not be valid.

19. Please take care when entering the prize draw to ensure that you provide your correct contact details. Any Entries which are incomplete and/or cannot be read clearly will not be valid and will not be entered into the Competition.

20. Nickelodeon shall at its sole discretion determine whether an Entry is valid, based on the entry requirements set out in these Terms. Each valid entry will be entered into the Competition. Entries that do not comply in full with these terms and conditions will be disqualified.

21IN LIGHT OF THE COVID-19 PANDEMIC, THERE ARE SIGNIFICANT CHANGES TO THE WAY IN WHICH NICKELODEON OPERATE. THE WELLBEING OF NICKELODEON’S MEMBERS OF STAFF AND PRIZE WINNERS IS OF PARAMOUNT IMPORTANCE. THE IMPACT OF THE PANDEMIC IS CHANGING DAILY, NICKELODEON ARE WORKING IN LINE WITH GOVERNMENT GUIDANCE AND WITH EXTREME CAUTION. ACCORDINGLY, PROVIDED IT IS SAFE TO DO SO AND NICKELODEON HAS ACCESS TO ITS OFFICES AND POSTAL FACILITIES THERETO, NICKELODEON WILL AIM TO DISPATCH THE PRIZE TO THE WINNERS WITHIN SIXTY (60) DAYS OF THE WINNERS CONFIRMING THEIR DELIVERY DETAILS TO NICKELODEON AND NICKELODEON RECEIVING ANY CONFIRMATION IT DEEMS FIT IN ACCORDANCE WITH THESE TERMS

DATA PROTECTION AND PRIVACY

21. Any personal information collected by Nickelodeon in connection with the Club will be used in accordance with Nickelodeon’s Privacy Policy set out at http://www.nickjr.co.uk/privacy-policy/ (the “Privacy Policy“). A copy is also available by sending Nickelodeon an email to dataprivacyrights@viacom.com or a letter to our address above marked for the attention of The Data Protection Officer.

22. Personal information collected from members of the Club will be used by Nickelodeon solely in connection with the Club and we will not disclose your personal information to any third party except for the purposes of operating the Club and/or providing the Membership Benefits. For example if you win a competition, we may need to pass your information to a third party to arrange delivery of your prize, or we may need advice from an auditor or legal adviser. We currently use The Promotions Factory Limited (company number 03687321) to assist us with competitions and the provision of the Membership Benefits. We will make sure that any third parties keep your information secure; only keep the information for so long as is necessary; and will comply with all applicable laws and regulations.

23. The member of the Club’s name, e-mail address and child’s birth month (if provided) will be retained in order to send the monthly Club newsletter and fulfil other Membership Benefits. If a member chooses to unsubscribe in accordance with clause 6 above, all of their personal data shall be permanently destroyed.

GENERAL

24. All changes to the Terms will be posted in revised terms and conditions on http://www.nickjrfanclub.uk/

25. Events may occur that render the provision of the Membership Benefits (or any part thereof) impossible due to reasons beyond the reasonable control of Nickelodeon. Nickelodeon will not be liable or responsible for any loss or damage suffered by the member should they not receive or be able to receive the Membership Benefits (or any part thereof) as a result of any such event. In particular, Nickelodeon shall have no obligation to substitute any alternative prize, cash equivalent or provide any other compensation.

26. Nickelodeon reserves the right to cease operation of the Club at any stage and for any reason.

27. Nickelodeon will not be liable to you for any delays or failure (whether in whole or in part) in carrying out its obligations in respect of the Club due to circumstances beyond Nickelodeon’s reasonable control. You will be solely responsible for any costs incurred by you as a result of such delays and/or failures.

28. Nickelodeon will not be liable to you for any loss or damage however it was caused (including without limitation in contract, tort or statutory duty) in connection with the Club, other than for death or personal injury caused by Nickelodeon’s (and/or its employees’) negligence.

29. The Terms in respect of the Club are governed by and construed in accordance with the laws of England and Wales and if there are any disputes the courts of England shall have exclusive jurisdiction.
